The grouping.
A European legal form, a concrete grouping in Leipzig — verifiable right down to the register.
The legal form
The EEIG — European Economic Interest Grouping — was created to facilitate and promote cross-border cooperation between companies and independent professionals within the European Union.
Its basic principle: the grouping does not pursue profit for itself. It provides economic benefits to its members — through the shared use of resources such as research and development, marketing or sales, through joint projects and through the representation of common interests.

The principle of solidarity
The grouping sees itself as a link between economically larger and smaller members. The stronger support the weaker — through structural aid, loans and grants that improve the investment capacity of smaller companies or avert payment difficulties.
«The EEIG carries the EU’s idea of solidarity within it and allows stronger members to support weaker ones, to solve their problems and to grow stronger within the community.»Statutes of DigiHap EEIG · § 3.10
Principles
- Openness: new members are admitted in the spirit of generous European cooperation — unanimously, so that the grouping fits together.
- Transparency: the annual accounts are drawn up within six months and approved by the members’ assembly.
- Understanding before dispute: in the event of disagreements, mediation comes first, followed by arbitration.
- German as the working language — with the option of adopting further official languages.
Fields of activity
The statutes define the object deliberately broadly — so that the grouping can act wherever its members need it.

Bodies and resolutions
The bodies of the grouping are the members’ assembly and the management. The assembly meets at least once a year and has a quorum when two thirds of the members are present — participation is also possible online. Each member has one vote; resolutions can be passed in writing, by video conference or by e-mail and signed digitally.
Fundamental decisions — the admission of new members, changes to the object or to the contribution obligation, a transfer of the registered office — require unanimity. Everything else is decided by majority. The manager has sole power of representation and is bound by the budget adopted by the assembly.
Financing
No capital was paid in at formation. The grouping finances itself through membership fees and special levies for specific projects, through fees for services to members and through contributions — also in kind, as work, know-how or rights.
For ongoing administration, warranty cases, legal enforcement and emergencies, the grouping builds annual reserve funds. An EEIG may not raise capital from the public — which deliberately keeps the grouping close to its members.
